Departure of Directors or Certain Officers.
 
On August 10, 2020, Andrew Rooke, a director of The Shyft Group, Inc. (the “Company”), resigned from the Company’s Board of Directors. Mr. Rooke indicated his resignation was for personal reasons and was not related to any conflict with any of the Board or management of the Company. In connection with Mr. Rooke’s resignation, the size of the Board of Directors will be reduced from eight directors to seven directors.
